Bylaws Sections from the Constitution, Bylaws and Rules of the American Society of Agricultural and Biological Engineers pertaining to geographical units of the Society: |

Article B-11, Par. 4: The provisions of the Constitution, Bylaws and Rules of the Society shall cover the procedure of all sections, but no action or obligation of a unit shall be considered an action or obligation of the Society as a whole. The intent of the previous sentence shall be imprinted on any publication issued by the section. Article R-11, Rule 9: Each section may adopt its own bylaws for the conduct of affairs, provided such bylaws are in harmony with the Constitution, Bylaws and Rules of the Society, and are approved by the Membership Council, and provided also that every publication of such bylaws be prefaced with a copy of this rule. |

Sec 1 Name. The name of this unit is the Nebraska Section of the American Society of Agricultural and Biological Engineers and here referred to as Section. |

| Sec 2 Territory. The territory of the Section shall comprise the State of Nebraska. | ||
| Sec 3 Objects. The objects of the Section shall be in harmony with those set forth in Article C-2, Section 1, of the Constitution of the American Society of Agricultural Engineers. | ||
| Sec 4 Government. The Section shall be governed by these Bylaws together with Article B-11 of the Bylaws and Article R-11 of the Rules of the American Society of Agricultural Engineers. | ||
| Sec 5 Membership. Membership in the Section shall include only members of the American Society of Agricultural and Biological Engineers (ASABE) in good standing and of any grade residing in the territory of the Section. Such members are members of the Section without the payment of an admission fee. | ||
| Sec 6 Dues. Annual section dues may be levied by the Executive Committee following approval of the amount and purpose by a majority vote of the membership attending an Annual Meeting or by a balloted vote outside of an Annual Meeting. The annual assessment will not exceed the limit imposed by ASABE. Any assessment will be identified as a voluntary assessment. It will be collected by ASABE as part of annual ASABE membership dues. | ||

Sec 7 Officers. |

(a)
|
The officers of the Section shall consist of the Chair, not to exceed five Vice-Chairs, and the Secretary-Treasurer, and these officers together with the immediate Past-Chairs shall constitute the Executive Committee of the Section. The President and the Secretary of the Society shall be members ex-officio of the Executive Committee. Any member who has served as President of the Society or District Director shall not be eligible for election as Chair of this Section. | |

(b)
|
A member who has served as Chair for one year shall not be eligible for immediate re-election to that office. | |
|
(c)
|
Officers shall be elected at the annual meeting of the Section and shall assume office on July 1. | |
|
(d)
|
The term of each officer shall be one year. | |

Sec 8 Meetings. |

(a)
|
Meetings of the Section shall be held at times and places designated by the Executive Committee, but shall not conflict with meetings of the Society. At least one meeting, to be known as the annual meeting, shall be held each year. | |
|
(b)
|
A quorum for the transaction of business at any meeting shall consist of ten members of the Section. | |
|
Sec 9 Committees. |

(a)
|
The affairs of the Section shall be managed by the Executive Committee and shall include the designation time and place of the meetings, arrangement of programs, and appointment of special committees for various Section activities. | |

(b)
|
A Nominating and Awards Committee, consisting of the Chair and the two immediate Past-Chairs, shall nominate one or more candidates for the elective offices of the Section and select award recipients. | |
| Sec 10 Amendments. Proposed amendments to these Bylaws, may be either submitted by letter ballot to the members of the Section or voted on at the annual meeting with 2 weeks notification. The adoption of such amendments shall require a vote in their favor of two-thirds of the votes cast. | ||
| Sec 11 Funds. Upon dissolution of the Section, and after payment of all debts and obligations, its funds shall be transferred to the American Society of Agricultural and Biological Engineers. | ||
